Invoice AI+ Terms of Service Effective Date: May 5, 2025 Part 1 1. Introduction Welcome to Invoice AI+, a software-as-a-service (SaaS) invoicing platform. These Terms of Service (“Terms”) govern your access to and use of Invoice AI+ (the “Service”), provided by Invoice AI+ (“Company”, “we”, “us”, or “our”). By creating an account or using the Service, you (the individual or entity using the Service) agree to be bound by these Terms, as well as our Privacy Policy (available on our website), which is incorporated by reference. If you do not agree with these Terms, you must not use the Service. You represent that you are at least the age of majority in your jurisdiction (e.g., 18 years old in most regions) and are legally capable of entering into a binding contract. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, in which case “you” refers to the organization. We may update or modify these Terms from time to time to reflect changes in our Service, laws, or for other operational reasons. If we make material changes, we will notify you by posting the revised Terms on our website or through the Service, and updating the “Effective Date” above. Your continued use of the Service after a revised version of these Terms has been posted constitutes your acceptance of the changes. If you do not agree to any update, you should stop using the Service. 2. Description of the Service and Features Invoice AI+ is an online invoicing and business management platform designed to help you create, send, and manage invoices and payments efficiently. The Service includes a range of features and functionality to support your business, including but not limited to: • Crypto Payments Support: Ability to accept and process cryptocurrency payments for invoices, alongside traditional payment methods. • Role-Based Access Control (RBAC): Multi-user access with customizable roles and permissions, allowing you to securely collaborate with team members or accountants. • GST Compliance Tools: Tax calculation features (including Goods and Services Tax (GST) and other applicable taxes) to assist in generating tax-compliant invoices, especially for users in Canada and other jurisdictions with value-added taxes. • Offline Access & Synchronization: Offline mode that enables you to view and create invoices without an internet connection, with automatic data synchronization when connectivity is restored. • Additional Features: Other features such as multi-currency support, expense tracking, recurring invoices, payment reminders, and integration with third-party services (e.g. accounting software and payment gateways) as described on our website or app. We continuously improve the Service and may add, change, or remove features at our discretion. We will strive to notify you of major changes to features, but we are not obligated to maintain any particular feature set. All new features are subject to these Terms. The Service is provided via our website and may also be accessible through mobile or desktop applications, subject to the applicable app store terms (see Part 2). 3. Account Registration and Security To use Invoice AI+, you must create an account by providing accurate, current, and complete information as prompted by the registration process. You agree to keep your account information updated as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your password or credentials with unauthorized persons. If you believe your account has been compromised or accessed without authorization, you must notify us immediately. If you utilize our role-based access feature to invite other users (such as employees or contractors) to access your account, you are responsible for managing their permissions and ensuring that each such user abides by these Terms. The actions of users to whom you grant access will be deemed actions taken by you. We are not liable for any loss or damage arising from any unauthorized use of your account due to your failure to safeguard credentials or manage user access. You are responsible for all content and data submitted under your account, including invoices, client information, payment records, and any other materials (“Your Content”). You must ensure that Your Content and use of the Service comply with all applicable laws and regulations. We reserve the right to suspend or terminate accounts that we suspect are being used for fraudulent, illegal, or unauthorized purposes (see Termination in Part 2). 4. Payments, Subscriptions, and Taxes Subscription Plans: Invoice AI+ may offer subscription plans (e.g., free, premium, or enterprise tiers) for accessing different levels of Service features. If you subscribe to a paid plan, you agree to pay all applicable fees as outlined during signup or in the Service. Prices are listed in the applicable currency and are exclusive of any taxes (unless stated otherwise). If you are located in Canada, applicable sales taxes such as GST/HST (and any provincial taxes) will be added to your subscription charges as required by law. Users from other jurisdictions may be responsible for any applicable taxes or duties as per local laws. Billing and Payment: By providing a payment method (such as a credit card, payment service, or cryptocurrency wallet) and selecting a paid plan, you authorize us or our payment processor to charge your payment method for the recurring subscription fees and any applicable taxes on a periodic basis (e.g., monthly or annually), according to your chosen billing cycle. Subscription fees will be billed in advance of the service period they cover. If payment is not received on time or cannot be processed (including due to expiration or insufficient funds), we may suspend or downgrade your account until payment is successfully processed. It is your responsibility to ensure that your billing information is accurate and updated to avoid interruption of service. Crypto Payments: Invoice AI+ may support cryptocurrency transactions either as a method for you to pay for the Service or for your business to accept invoice payments from your customers. If you choose to pay your subscription fees in cryptocurrency (when available) or use the Service’s crypto payment integration for invoices, you acknowledge that cryptocurrency values can be volatile and transaction processing (confirmations) may take time. All cryptocurrency transactions are facilitated through third-party providers or wallets, and you are subject to those third parties’ terms and conditions. We do not control the cryptocurrency networks and are not liable for losses due to network issues, security breaches on your end (like lost private keys), or fluctuations in value. You are responsible for compliance with any legal obligations related to cryptocurrency transactions (such as tax reporting or compliance with anti-money laundering laws). Changes and Cancellations: We reserve the right to change the fees for the Service or introduce new charges upon reasonable notice to you. Any fee changes will take effect at the start of the next billing cycle. If you do not agree with a fee change, you may cancel your subscription before the new fees apply. You may cancel your paid subscription at any time through your account settings or by contacting our support. Cancellation will take effect at the end of your current paid-up subscription term, unless otherwise specified. We do not provide refunds for partial subscription periods unless required by law or expressly stated at the time of purchase. Downgrading your plan (for example, from a paid tier to a free tier) may result in loss of access to certain features or limits on usage, and you accept responsibility for managing your data accordingly. 5. User Data, Privacy, and Security Your privacy is important to us. In the course of using the Service, you and your end customers may input personal or business information (such as names, contact information, financial details, etc.). You retain ownership of Your Content, including all personal data you provide. By using the Service, you grant us and our affiliates a worldwide, non-exclusive, royalty-free license to host, use, process, display, and transmit Your Content solely for the purposes of providing and improving the Service. This includes, for example, storing your invoice data on our servers, backing it up, and displaying it to you and recipients as you direct. We will handle personal data in accordance with our Privacy Policy and applicable data protection laws. Invoice AI+ is a Canada-based service, and we comply with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA), as well as other applicable privacy laws including the European Union’s General Data Protection Regulation (GDPR) and relevant regulations in other jurisdictions. We implement industry-standard security measures (such as encryption in transit and at rest, access controls, and regular backups) to protect Your Content against unauthorized access or loss. However, no method of transmission or storage is completely secure, and thus we cannot guarantee absolute security. You are responsible for maintaining appropriate security and control of any IDs, passwords, personal identification numbers (PINs), API keys, or any other codes that you use to access the Service and related services. If you are subject to GDPR or similar laws and require a Data Processing Agreement (DPA) for using Invoice AI+, please contact us. Where applicable, by using the Service you agree to our data processing terms which outline our respective responsibilities for protecting personal information. We will not access, use, or disclose Your Content except as necessary to provide the Service, comply with the law, enforce our policies, or with your consent. We do not sell your personal information to third parties. For details on how we collect, use, and disclose data, please review our Privacy Policy. Data Residency and Transfer: Your data may be stored on servers located in Canada, the United States, or other jurisdictions where we or our service providers operate. By using the Service, you consent to the transfer of your data across national borders to such locations, subject to appropriate safeguards. If you or your customers are in a different country or region, you are responsible for ensuring that use of the Service and the transfer of personal data is permitted under local laws. 6. Acceptable Use Policy You agree to use Invoice AI+ in a lawful and responsible manner. You must not misuse the Service. Prohibited activities include, but are not limited to: • Using the Service for any unlawful, illegal, or fraudulent activities. This includes issuing invoices for illegitimate products/services, money laundering, or violating any applicable anti-corruption, anti-bribery, or anti-money-laundering regulations. • Impersonating any person or entity, or falsely representing your identity or affiliation when using the Service. • Posting, transmitting, or storing content that is obscene, harassing, threatening, defamatory, or otherwise violates the legal rights (such as privacy and intellectual property) of others. • Using the Service to send unauthorized mass emails or communications (spam) or to distribute malware, viruses, Trojan horses, or any other harmful code. • Attempting to probe, scan, or test the vulnerability of the Service or any related system or network, or breaching security or authentication measures without proper authorization. • Interfering with or disrupting the integrity or performance of the Service, including launching denial-of-service attacks or excessively overloading the system with requests. • Reverse engineering, decompiling, or otherwise attempting to derive the source code or underlying ideas or algorithms of any part of the Service, except to the extent allowed by applicable law. • Using the Service to process or store sensitive personal data or payment information in violation of applicable data protection laws, or in a manner for which the Service is not intended. (For example, while Invoice AI+ facilitates payment processing through integrated gateways, you should not store credit card numbers in plain text within invoice descriptions or notes.) We reserve the right to investigate any suspected violation of this Acceptable Use Policy. In the event of a violation, we may remove or disable access to any offending content, and/or suspend or terminate your account as outlined in the Termination section. We may also report any activity that we suspect violates any law or regulation to law enforcement or appropriate authorities. You are responsible for ensuring that all users of the Service under your account (such as team members via role-based access) comply with this Acceptable Use Policy.

Part 2 7. Intellectual Property and Ownership All rights, title, and interest in and to the Service, including the Invoice AI+ platform, website, mobile applications, software, logos, trademarks, and all associated intellectual property, are owned by us or our licensors. These Terms do not grant you any ownership interest in the Service or any content provided by us. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission. You retain ownership of all content, data, and materials you upload or input into the Service as part of Your Content (for example, your invoices, customer lists, logos, etc.). We do not claim ownership over Your Content. By submitting or uploading Your Content to the Service, you grant us a license to use, reproduce, adapt, and display that content solely as needed to provide the Service (for example, to display your invoices to your recipients, or to backup your data). This license is worldwide, royalty-free, and sublicensable to our trusted service providers solely for the purpose of operating and improving the Service. If you provide us with any suggestions, feedback, or ideas about the Service, you agree that we may use and implement them without any restriction or compensation to you. Providing feedback is entirely optional and will not create any confidentiality obligation for us. Our trademarks, logos, and brand elements (such as “Invoice AI+”) are our intellectual property. You may not use our name or branding in any manner (e.g., in promotional material or public announcements) without our prior written consent, except as necessary to factually refer to our services. 8. Third-Party Services and App Stores Invoice AI+ may integrate with or provide links to third-party services, websites, or content that are not owned or controlled by us. For example, the Service may allow connections to payment gateways (like credit card processors or cryptocurrency payment services) or accounting software. Your use of any third-party services is subject to that third party’s terms and policies, which may differ from ours. We do not endorse or assume any responsibility for third-party services or websites. If you access or use any third-party service in connection with Invoice AI+, you do so at your own risk, and you agree that we have no liability arising from your use of or reliance on any third-party service. If you access the Service via our mobile application, additional terms from the mobile app platform provider may apply. You must comply with all applicable app store terms (such as the Apple App Store or Google Play Store terms of service). You acknowledge that these Terms are between you and Invoice AI+, and that the app store provider (e.g., Apple or Google) is not a party to these Terms. However, Apple and its subsidiaries, as well as Google and its subsidiaries, shall be considered third-party beneficiaries of these Terms with respect to the mobile app. This means that upon your acceptance of these Terms and installation of the mobile app, Apple (for iOS users) or Google (for Android users) has the right to enforce these Terms against you as a third-party beneficiary. In no event will these app store providers be responsible for any support or maintenance of the Service, or any claims related to the Service (e.g., product liability, legal compliance, or intellectual property claims). You acknowledge that, in the event of any failure of the Invoice AI+ mobile app to conform to any applicable warranty, you may notify the app store provider (e.g., Apple or Google), and, where required by store policies, they may refund the purchase price (if any) for the app; beyond that, the app store provider has no warranty obligation whatsoever for the app. 9. Termination and Suspension You may stop using the Service at any time. If you wish to terminate your account, you can do so through the account management settings or by contacting us. Upon termination, you will lose access to the Service and all associated data. If you terminate a paid subscription, the termination will be effective at the end of your current billing period, and you will not receive a refund for any prepaid period unless otherwise stated in a refund policy or required by law. We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without notice, if we believe you have violated these Terms, if you fail to pay any fees owed, or if we are required to do so to comply with legal requirements or an order from law enforcement. We also may temporarily suspend the Service for technical maintenance or security reasons, in which case we will attempt to provide advance notice when feasible. Upon termination by either party for any reason, your rights to access the Service will immediately cease. We may delete or destroy any data associated with your account after a certain period following termination, in accordance with our data retention practices, except to the extent we are obliged to retain it by law or for legitimate business purposes. It is your responsibility to export or back up your data prior to termination if you wish to retain copies of Your Content. Even after your account is terminated, certain provisions of these Terms will survive, including but not limited to intellectual property rights, warranties disclaimer, limitations of liability, and indemnification. 10. Disclaimer of Warranties The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Invoice AI+ disclaims all warranties and conditions of any kind, whether express, implied, or statutory, regarding the Service. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or course of performance. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy or reliability of any results obtained from the use of the Service (for example, calculations of taxes or financial figures), and you acknowledge that any reliance on the Service is at your own risk. While we strive to maintain a secure and accessible service, we make no warranty that Your Content will be secure or not otherwise lost or altered. You understand that you use Invoice AI+ at your own discretion and risk, and that you are solely responsible for any damage to your computer system, device, or loss of data that results from the use of the Service. No advice or information (oral or written) obtained by you from us or through the Service shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, any warranties that cannot be disclaimed are limited to the shortest period and fullest extent permitted by law. 11. Limitation of Liability To the maximum extent permitted by applicable law, in no event will Invoice AI+, its parent company, affiliates, officers, directors, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenues, business opportunities, goodwill, data, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage. In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the minimum extent permitted by law. To the extent we are found liable for any claim arising out of or related to the Service, our aggregate liability to you for all claims in a given calendar year will not exceed the amount you have paid to us for the Service in the twelve (12) months immediately preceding the event that gave rise to the claim (or, if you have not paid any fee, the amount of CAD $100.00). This limitation of liability applies to the fullest extent permitted by law and shall apply even if any remedy fails of its essential purpose. 12. Indemnification You agree to indemnify, defend, and hold harmless Invoice AI+ and its affiliates, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or relating to any third-party claims due to or arising out of: (a) Your Content or data submitted by you (including claims that Your Content infringes or misappropriates the intellectual property or privacy rights of a third party); (b) your use of the Service in violation of these Terms or any law or regulation; (c) your breach of any provision of these Terms; or (d) any fraud, negligence, or willful misconduct by you or users under your account. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations), in which case you agree to cooperate with our defense of such claim. You will not settle any claim requiring our admission of liability or payment without our prior written consent. 13. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada, and you hereby consent to the personal jurisdiction of such courts. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any jurisdiction to prevent irreparable harm. If you use the Service from outside of Canada, you are solely responsible for ensuring compliance with local laws. We make no representations that the Service is appropriate or available for use in other locations. 14. Miscellaneous Entire Agreement: These Terms (along with any policies or agreements expressly incorporated herein, such as our Privacy Policy and any applicable Data Processing Addendum) constitute the entire agreement between you and Invoice AI+ regarding your use of the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. No Waiver: Our failure to enforce any right or provision of these Terms will not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Invoice AI+. Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent. We may assign these Terms (in whole or in part) at any time with or without notice, such as in connection with a merger, acquisition, corporate reorganization, or sale of assets. Relationship: Nothing in these Terms shall be construed as creating any joint venture, partnership, employment, or agency relationship between you and us. You neither have nor hold yourself out as having any authority to act on behalf of us. Notices: We may provide you with notices (including notices of changes to these Terms) by email to the address associated with your account, through notifications within the Service, or by posting to our website. Notices sent by email will be deemed received on the next business day after they are sent. You are responsible for ensuring that your account email is current and accessible.
